This document (and the other documents it refers to) and the Website Statement of Conduct contain the Terms and Conditions (the “Terms”) on which you as a customer may use https://ticketmall.singsing.app/ (the “Website”), whether as a guest or a registered User. The Terms are a legally binding contract between you and Chi Sing Tech Limited. The contract sets out your rights and responsibilities when you use the services provided by Chi Sing Tech Limited, which may include, but is not limited to, our web application, mobile application, website and any other services (collectively, the “Services”) so please read it carefully. If you do not understand this agreement or do not agree to be bound by it or the Privacy Policy, you must immediately leave the site and you are not authorised to access or use any of the Services. Ticketmall may periodically make updates, and/or add information at any time in its discretion. You will be deemed to have accepted these Terms when you visit the Website and/ or whenever you use any of our Services.

We are registered in Hong Kong with its registered office situated at 21/F, Wayson Commercial Building, No. 28, Connaught Road West, North Point, Hong Kong and our email address is info@singsing.app



DEFINITIONS

Site: Refers to the website ticketmall.singsing.app through which Chi Sing Tech Limited provides and operates its Service.

Event: refers to an Event advertised on the Site and created by an Organiser after accepting the Terms.

User: refers to the person who has created an account with Ticketmall, accepted the Terms and intends to use Ticketmall’s Services.

Organiser: refers to the person who has created an account with Ticketmall, accepted the Terms and creates Events on the Site. Organiser is defined as a type of User.

Service Charge: the fee charged by Ticketmall to cover the cost of running the platform.

Transaction Fee: the fee charged by the payment processor Stripe for processing the order.

Face Value: the original cost of the ticket set by the Organiser.



SCOPE OF OUR SERVICES

Ticketmall that allows users to purchase tickets for Events that are advertised by Organisers through its platform. All enquiries regarding any Events listed on Ticketmall Site should be addressed to the Event Organiser.



ACCESSING THE SERVICES

Certain functions of the Website/ the Services, will require an active internet connection. The connection can be Wi-Fi, or provided by a mobile network provider, but we cannot take responsibility for the Website/ the Services not working at full functionality if you do not have access to an active internet connection. In using the Website/ the Services, you accept responsibility for any charges incurred for the cost of data for the duration of the connection while accessing the Website/ the Services, or other third party charges, including roaming data charges. If you are not the bill payer for the device on which you’re accessing the Website/ the Services, please be aware that we assume that you have received permission from the bill payer for using the Website/ the Services.



YOUR USE OF THE WEBSITE

We allow access to our Website/ the Services on a temporary basis and we reserve the right to withdraw, restrict or change our Services at any time and without notice. We will not be liable if for any reason the Services are unavailable at any time or if the content is changed or out of date. You must treat as confidential your email address, password or other security feature in relation to the Website/ the Services. If, in our opinion, you are not complying with the Terms, we have the right to disable any such code, password or feature at any time. It is your responsibility that anyone who accesses the Website/ the Services through your internet connection is aware of these Terms and complies with them. We grant you a limited, non-exclusive, non-transferable and revocable licence to visit the Website/ use the Services—subject to the Terms and the following restrictions:

1. You agree that you will not violate any laws in connection with your visiting the Website/ use of the Services. This includes any local, national and international laws that may apply to you.

2. You are responsible for paying any fees that you owe to Ticketmall. You are also solely responsible for collecting and/or paying any applicable taxes for any purchases or sales you make through the Website/ our Services.

3. You agree not to “crawl,” “scrape,” or “spider” any aspect of the Website/ the Services or to reverse engineer or attempt to obtain the source code of the Services. You shall not misuse the Website/ the Services by knowingly introducing any material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website/ the Services, the server on which the Website is/ any of the Services are stored or any server, computer or database connected to the Website/ Services. You must not attack the Website/ Services via a denial-of-service attack or a distributed denial-of service attack. By failing to comply with this provision, you would commit a criminal offence and your right to access the Website/ use the Services will cease immediately and we will report your actions to the relevant authorities.

4. You agree not to interfere with or try to disrupt the Website/ Services, for example by distributing a virus or other harmful computer code.

5. The name Ticketmall and other marks, phrases, logos and designs that we use in connection with our Services, are trademarks, service marks or trade dress of Ticketmall in the UK and other countries. You require our express written permission to use our trademarks, service marks or trade dress.

6. We will provide you with certain legal information in writing. By using our Services, you’re agreeing that we may provide you information electronically (by email, etc.) instead of mailing you paper copies, and that your electronic agreement is equal to your signature on paper.



YOUR EVENTS

Your public Events will be displayed on Ticketmall homepage. Private events will not display on the homepage. Both can be shared by email and on social media by you and your attendees and therefore you accept that your Events cannot be completely confidential. Your Events will be stored on our secure servers. We do not sell your Event information to third parties, however, you agree to permit authorised Ticketmall staff to review the content of Events to ensure, among other matters, that they comply with these Terms.

To list an Event on our Site Users needs to provide the following information: Event name, date, location, description, picture, and tickets details.

Ticketmall may remove any Event for any reason whatsoever, including without limitation any event that promotes obscene or illegal activity. Ticketmall reserves the right to disqualify any Event that, in Ticketmall’s sole discretion, does not comply with these Terms or otherwise.



CONTENT

Organisers should submit real information and keep it updated for the other Users. All activity under their account and Content posted on the Event is their responsibility.

Ticketmall do not review any Organisers’ Content in advance of publication through the Site. Events may contain links to other websites, which are completely independent of Ticketmall. The Organiser may not use the Site for any illegal or unauthorised purpose.

Ticketmall is not responsible for the Organisers’ submitted Content. However, Ticketmall reserves the right to alter or remove any Content and terminate the Organiser right to use the Site.



INTELLECTUAL PROPERTY RIGHTS

Save as described elsewhere in the Terms, we are the owner or the licensee of all intellectual property rights in the Website / the Services and are protected by copyright laws and treaties around the world. All such rights are reserved. You must not use any part of the Website/ the Services for commercial purposes without a licence from us or our licensors. You may not reproduce in any format (including on another website or mobile app) any aspect of the Website/ the Services (including content, images, designs, look and feel) without our prior written consent. If, in our opinion, you are in breach of these provisions, your right to use the Website/ the Services will cease immediately and you must either return or destroy (as required by us) any copies of the materials you have made.



PROHIBITED USES

You may use our Website only for lawful purposes. You may not use our Website:

In any way that breaches any applicable local, national or international law or regulation.

In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

For the purpose of harming or attempting to harm minors in any way.

To send, knowingly receive, upload, download, use or reuse any material which does not comply with our content standards described in the next paragraph (Content Standards).

To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.


You also agree:

Not to reproduce, duplicate, copy or resell any part of our Site in contravention of these Terms

Not to access without authority, interfere with, damage or disrupt:

any part of our Website;

any equipment or network on which our Website is stored;

any software used in the provision of our Website; or any equipment or network or software owned or used by any third party



CREATING AN ACCOUNT

You may be required to create an account with Ticketmall to use some of the Website’s Services. Here are a few rules about creating and using accounts with us.

Users will register by inputting their personal information (name, last name, gender, date of birth and email address – mobile number is optional) on the website. Users will also be required to designate a valid debit or credit card and authorised Ticketmall to charge the designated account all fees related to the services.

When creating an account. The information you provide to us at this stage, and in your account in general, must be accurate. You are not permitted to use false information or impersonate another person or company through your account and doing so if a breach of the Terms.

You are responsible for your account. You are solely responsible for any activity on your account. Sharing an account with multiple people is not permitted. If we suspect that you shared the account with other people, then the person whose billing information is on the account will ultimately be responsible for all activity. If you register as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business.

You are responsible for keeping your account, password and any device from which you access the Services secure. Your password is encrypted hence it will not be disclosed to Ticketmall. If accessing the Website/ Services via a mobile device, we recommend that you do not jailbreak or root the device (this is the process of removing software restrictions and limitations imposed by the official operating system of your device as doing so could make your device vulnerable to malware, viruses or malicious programmes, compromise your device’s security features and may affect the functionality of the Services. Ticketmall is not liable for any loss or damage from the failure to comply with this security obligation.

These Terms do not create any agency, partnership, joint venture, employment or franchisee relationship between the User and Ticketmall.



ELIGIBILITY FOR ACCOUNT

Users are obliged to create accounts with their real, complete and up to date personal details. To utilise Ticketmall services or create an account the User must be at least 13 years of age. We will delete any information collected including the user’s profile and photo if we suspect that the user is under the age of 13.

TERMINATION OF YOUR ACCOUNT

If you wish to cancel your account, you may do so at any time by contacting us at info@singsing.app. Your cancellation will be effective as soon as we receive it.

If Ticketmall believes the User has breached Terms or violated a legal right, Ticketmall reserves the right to terminate the Account immediately.



PAYMENT

This Site allows users to list Events and enter into ticket trading transactions. The payments of Event tickets and to Event Organisers are processed via Stripe. All transactions that are conducted through or in connection are subject to these Terms as well as any other specific conditions presented.

Ticketmall charges fees on any tickets sold on the Site. The fees include our “Service Charge” and a “Transaction Fee”. Fees are subject to change without prior notice at any time, so you should review the fees each time you use this Website.

The Service Charge fee is calculated as a percentage of the face value of the tickets and reflects the cost for providing our services to you, which include cost of servers, development, account management, administration, customer service, and VAT etc.

The Transaction Fee applies per order and covers the payment processing fee charged by the payment processor (Stripe). The Transaction Fee (if any) will be shown separately.

The Service Charge may vary and may be calculated up to 10% per ticket.

The Fees (if any) are displayed under the order summary at the checkout stage.

Ticketmall requires a debit or credit card number to purchase tickets. In order to use the Services, you must provide valid debit or credit card information. Transactions through the Ticketmall site are processed by the third party service provider Stripe. It is the responsibility of the User to read and understand any terms and conditions the third party processor may require.

Payment processing services for Event Organisers on Ticketmall are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal), which includes the Stripe Terms of Service (https://stripe.com/legal) (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Organiser on Ticketmall, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Ticketmall enabling payment processing services through Stripe, you agree to provide Ticketmall accurate and complete information about you and your business, and you authorise Ticketmall to share it and transaction information related to your use of the payment processing services provided by Stripe.

Event Organiser can only be paid until they have submitted the required information and completed the verification process required by Stripe and Ticketmall.



RESCHEDULING, CANCELLATION, AND FRAUD

It is the Organiser’s responsibility to notify Users if there is a rescheduling, cancellation or other issue linked to their Event. Ticketmall does not guarantee or warrant that any specific Event will occur at any specific time. All use of the Ticketmall Site is “as is” without any warranty of any kind. Thus, while Ticketmall will use its best efforts to police and verify the Events on this Site, the User use this Site at their risk and may not be reimbursed should the Event be cancelled. Refunds are only applicable to the above circumstances. Ticketmall may refund Users holding a valid ticket by reimbursing the price of their ticket(s) subject to deducting the applicable Service fee which will be retained by Ticketmall.



REFUNDS

When transacting on the Website the Organiser’s refund policy applies to you. It is the Organiser’s responsibility to inform the Buyer of the refund policy and issue the refunds. Ticketmall may request a refund from the Organisers for any reason including but not limited to when suspecting fraudulent behaviour or misrepresentation. Ticketmall will not be responsible for any issues or errors in connection to refund process if such process is triggered by the User.



RESOLUTION CHARGES

Ticketmall reserves the right to charge excess fees to any user who misrepresents the facts of the Event or commits any other fraud that is against these Terms of Service or any applicable law. Ticketmall has full discretion to determine a reasonable fee that correlates with a user responsibility for the non-fulfilment or fraud in a transition.



YOUR USE OF OUR SERVICES

I.TICKET PURCHASE FROM TICKETMALL

You may purchase a ticket through Ticketmall for Events listed on our Website. Ticketmall offers three types of tickets:

Free tickets: tickets that are offered free of charge, to which Ticketmall will not charge any service fees.

Paid tickets: tickets that are given a set price by the Organisers and are subject to Ticketmall’s service fees.

Donation tickets: tickets to which there is no specific set price. Organisers shall set a minimum and a maximum price and Users shall pay their chosen amount for the ticket provided that it is within the price limits set.


Organiser are able the aforementioned types of tickets. Organisers will be responsible for setting the ticket names, prices, number of tickets available and the maximum number of tickets allowed per purchase, as well as the timing of their sale through our Website. You will receive your ticket once the payment of the ticket price and fees is successfully received in full.

All tickets for our Events listed are solely sold through the Ticketmall Website. Organisers are responsible for setting their own terms and conditions for their Events. It is your responsibility to read, accept and abide to those terms. Ticketmall will be not liable for any tickets sold through third parties or other distribution channels including but not limited to the independent websites of the Event Organisers. You agree that Ticketmall has no control over the Event organised by the Organisers and you accept that Ticketmall is not liable with regards to any damages, injury or loss of any kind incurred by the User in connection to the Event. In such circumstances, the Organiser will be directly liable.



LIMITATION OF LIABILITY

Ticketmall is not a party to any transactions, other relationships, or disputes between its Users. Ticketmall is not the owner of any of the Events listed created by Organisers. Hence, Ticketmall is not responsible for any action or omission of Users including failure to perform, to pay money owed or to deliver services. Ticketmall does not have any relationship to the Organisers as their employee, servant, agent nor subcontractor nor has any relationship to the Organisers’ employees, servants, agents or subcontractors. Ticketmall does not review any of the Organisers’ content in advance of the publication on the Ticketmall site. Ticketmall does not provide any warranty, guarantee or indemnity in respect of the suitability, quality or price of any of the Events listed on the Site by the Organisers. Insofar as is permitted by law, we make no representation, warranty, or guarantee that our Services will meet your requirements or expectations. Ticketmall shall not have any liability for any direct, indirect, special or consequential losses or damages arising in contract, tort (including negligence) or otherwise arising from the Events you attend through Ticketmall’s Services.

Ticketmall, its subsidiaries, affiliates, licensors, service providers, content providers, employees, agents, officers, and directions will not be liable for any damages including legal expenses, loss of revenue, loss of profits, loss of business, damaged data, cost of substitute goods or services, losses arising out of the Website or Service being inaccessible, failure to realize expected saving, pain and suffering, emotional distress or similar damages even if Ticketmall has been advised of the possibility of such damages or such damages are foreseeable.

Ticketmall will not be liable for any loss of profit, loss of business, interruption to business, for any loss of business opportunity or for any indirect or consequential loss. Ticketmall will not be liable for any damage to property, fixtures or other physical objects and personal possessions that may occur in connect to the provision of the Services. We are not responsible for the cost of repairing any pre-existing faults or damage to your property that we discover while providing the Services.

Users shall indemnify us against any costs, liability, damages, loss, claims or proceedings incurred by us and arising as a result of any breach of these Terms or otherwise in connection with use of our Website or our Services.

Ticketmall handles personal information and data in accordance to its Privacy Policy https://ticketmall.singsing.app/terms_usage and is not responsible for any leak or disclosure of information due to User or third party.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the Services.



INDEMNITY

Users shall indemnify the Ticketmall against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by Ticketmall arising out of or in connection with:

1. The User’s breach or negligent performance or non-performance of this agreement;

2. the enforcement of this agreement;

3. any claim made against Supplier for actual or alleged infringement of a third party’s intellectual property rights arising out of or in connection with copyright, defamation etc. action;

4. any claim made against Ticketmall by a third party arising out of or in connection with the provision of the Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of this agreement by User, its employees, agents or subcontractors;

5. any claim made against Ticketmall by a third party for death, personal injury or damage to property arising out of or in connection with defective goods, to the extent that the defect in the goods is attributable to the acts or omissions of the User, its employees, agents or subcontractors.


This indemnity shall not cover the Ticketmall to the extent that a claim under it results from Ticketmall’s negligence or wilful misconduct.

Liability under this indemnity is conditional on Ticketmall discharging the following obligations. If any third party makes a claim, or notifies an intention to make a claim, against the Ticketmall which may reasonably be considered likely to give rise to a liability under this indemnity (a Claim), the Ticketmall shall:

as soon as reasonably practicable, give written notice of the claim to User, specifying the nature of the claim in reasonable detail;

not make any admission of liability, agreement or compromise in relation to the Claim without the prior written consent of User (such consent not to be unreasonably conditioned, withheld or delayed) , provided that Ticketmall may settle the Claim (after giving prior written notice of the terms of settlement (to the extent legally possible) to User, but without obtaining the User’s consent) if Ticketmall reasonably believes that failure to settle the Claim would be prejudicial to it in any material respect;

subject to the User providing security to Ticketmall to our reasonable satisfaction against any claim, liability, costs, expenses, damages or losses which may be incurred, take such action as User may reasonably request to avoid, dispute, compromise or defend the claim.


If a payment due from the User under this clause is subject to tax (whether by way of direct assessment or withholding at its source), Ticketmall is not be responsible for collecting any such amount. Organisers shall be responsible for paying any taxes or chargeable amounts related to the sale of their tickets. Nothing in this clause shall restrict or limit Ticketmall’s general obligation at law to mitigate a loss it may suffer or incur as a result of an event that may give rise to a claim under this indemnity.



DISCLAIMER OF WARRANTIES

Users are responsible for implementing sufficient procedures to verify the legitimacy and accuracy of all content and files accessed through this Site. Ticketmall cannot and does not guarantee or warrant that content available from the Internet or this Site will be accurate or free of viruses or other destructive code. Your use of this Website, its content and any Services obtained through this Website is at the user's risk. All Content is provided on an “as is” basis, without any warranties of any kind. Ticketmall hereby disclaims all warranties, whether express or implied, statutory or otherwise, including but not limited to any warranties of non-infringement, merchantability and fitness for particular purpose.



RELIANCE OF INFORMATION AND THIRD PARTY LINKS

Any content made available on the Website/ the Services (including links to other sites, apps and resources provided by third parties) are for information only, and we shall not be liable for any use of, or reliance on, such materials. It shall be your own responsibility to ensure that any products, services or information available through the Services meet your specific requirements.



SECTION HEADINGS

The section headings contained in these Terms and Conditions are for convenience in reference and are not intended to define or limit the scope of any provision of these Terms and Conditions.



SEVERABILITY

Should any provision of these Terms and Conditions be held by a court or other tribunal to be invalid, illegal or unenforceable for any reason such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.



SOLICITATION OUTSIDE OF THE SITE

User agrees not to contact, solicit or invite other users of this Site to perform transactions outside of Ticketmall and this Website. Ticketmall assumes no liability for any transaction conducted outside of this Website.



CHANGES TO TERMS

We may amend the Terms at any time by amending this page or, if we believe the changes are material, we will let you know by i) notifying you via the Website/ the Services, or ii) sending you an email or messages about the changes. You are responsible for reviewing and becoming familiar with any changes. Your use of the Website/ the Services following the changes constitutes your acceptance of the updated Terms.



JURISDICTION AND APPLICABLE LAW

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by and construed in accordance with the law of Hong Kong and any dispute arising out of these Terms will be brought in the courts of Hong Kong.

We do, however, reserve the right to bring any suit, action or proceeding against the User for the breach of these Terms in their country of residence or any other country.
